1. Introduction

These Driver Terms and Conditions govern the professional relationship between you (“the Driver”) and Flex Taxis Ltd (“the Company”). By accepting bookings through Flex Taxis, you confirm that you agree to and will comply with these terms. These terms aim to ensure that all journeys are delivered legally, professionally, and to a high standard of customer care, and that passengers, drivers, and the company are protected.

These Driver and Operator Terms and Conditions are in line with applicable UK legislation governing taxi and private hire transportation, including but not limited to the Local Government (Miscellaneous Provisions) Act 1976 and any licensing conditions set by local authorities such as  the Borough of Broxbourne Taxi and Private Hire Licensing. All drivers and operators are expected to comply fully with these regulations as a condition of working with Flex Taxis Ltd.

 

2. Licensing and Documentation

As a driver for Flex Taxis, you are required to:

  • Hold a valid Private Hire or Hackney Carriage Driver Licence issued by your local licensing authority.
  • Hold a clean and current UK driving licence suitable for the class of vehicle operated.
  • Undergo and provide evidence of a valid Enhanced DBS check, in accordance with licensing authority guidelines.
  • Maintain a valid medical certificate, if required by the local authority.
  • Submit up-to-date copies of all relevant documentation including driver badge, insurance certificate, MOT, vehicle licence, and road tax.

It is your responsibility to ensure all documents are valid and submitted to Flex Taxis before expiry. Failure to do so may result in suspension from the platform.

3. Vehicle Standards

You must only operate vehicles that:

  • Are fully licensed by your local authority as a private hire or Hackney carriage vehicle.
  • Are roadworthy, clean, safe, and presentable at all times.
  • Have passed all MOT and council inspections, and are free from major damage.
  • Are fully insured for hire and reward.
  • Comply with local licensing authority requirements including signage, CCTV (if applicable), and accessibility equipment.

Flex Taxis reserves the right to request vehicle inspections and cleanliness spot checks at any time. Failure to maintain high standards may lead to account suspension or termination.

4. Conduct and Professionalism

All drivers are expected to behave in a professional, respectful, and lawful manner. You must:

  • Treat all passengers with politeness, dignity, and respect.
  • Refrain from using foul, aggressive, discriminatory, or abusive language.
  • Keep your vehicle clean, tidy, and odour-free.
  • Drive safely, adhere to speed limits, and follow traffic laws.
  • Avoid using mobile phones while driving unless through a legal hands-free system.
  • Dress appropriately and maintain personal hygiene.

Smoking or vaping in the vehicle is strictly prohibited. Consumption of alcohol or drugs during service hours is grounds for immediate termination.

5. Pricing, Fare Integrity, and Unauthorised Negotiation

At Flex Taxis, all fares must be fair, transparent, and consistent across our platform. Drivers are strictly prohibited from independently determining fares, negotiating prices, or engaging in any form of unauthorised payment or booking arrangement.

Unauthorised Conduct – Strictly Prohibited

Drivers must not:

  • Quote or negotiate fares directly with passengers.
  • Offer alternative pricing, discounts, or surcharges without prior written or verbal authorisation from the Flex Taxis Admin Team.
  • Accept cash payments unless explicitly authorised for a specific journey.
  • Alter routes, apply unapproved surcharges, or extend trips for the purpose of increasing fare value.
  • Encourage passengers to cancel or rebook trips outside the Flex Taxis system for personal financial gain.
  • Solicit or accept private bookings that bypass the Flex Taxis platform.

Authorised Pricing Only

All fares must be:

  • Calculated and confirmed through the Flex Taxis booking system or by the Admin Team.
  • Visible to the driver before the start of the journey.
  • Charged exactly as shown on the system or on the passenger’s booking confirmation.
  • Reviewed and approved by the Admin Team in case of exceptional circumstances (e.g. road closures, major diversions).

Passenger Fare Disputes

If a passenger questions the fare or requests changes:

  • Politely direct them to contact Flex Taxis Customer Support.
  • Do not engage in fare discussions, arguments, or ad hoc negotiations.
  • Report the issue to the Admin Team after the journey, or contact Dispatch if urgent.

Exceptions

The only exception to this policy is when explicit written or verbal approval has been given by a member of the Flex Taxis Admin Team for a specific case.

Breach of Pricing Policy

Violation of this policy will be treated as a serious breach of the Flex Taxis Driver Agreement and may result in:

  • Immediate suspension of your driver account
  • Forfeiture of unpaid or pending earnings
  • Permanent removal from the Flex Taxis platform
  • Reporting to relevant local licensing authorities for further investigation or enforcement action.

 

6. Driver Code of Conduct – Breach Policy

Flex Taxis holds all drivers to a high standard of professionalism and legal compliance. The following behaviours are considered breaches of the Driver Code of Conduct:

Minor Breaches (may result in warning or temporary suspension):

  • Late arrivals without valid reason
  • Poor communication with passengers or dispatch
  • Refusal to follow system-assigned routes
  • Incomplete documentation updates
  • Inconsistent vehicle cleanliness

Major Breaches (may result in immediate suspension or termination):

  • Charging unauthorised fares or negotiating directly with passengers
  • Accepting cash for unlogged journeys
  • Threatening, abusive, or discriminatory behaviour
  • Driving under the influence of alcohol or drugs
  • Carrying unauthorised passengers or subcontracting jobs
  • Repeated customer complaints or serious negative reviews
  • Breach of licensing or insurance requirements

Disciplinary Procedure:

  1. Incident logged by the Admin Team
  2. Initial review with the driver (written or verbal)
  3. Temporary suspension (if required during investigation)
  4. Final outcome communicated in writing
  5. Right to appeal within 7 days of the decision

Flex Taxis reserves the right to terminate any working relationship without notice in cases of gross misconduct or behaviour that jeopardises passenger safety or company reputation.

7. Brand Representation and Documentation Restrictions

Flex Taxis Ltd is a regulated and trademarked entity. To protect the company’s brand integrity, regulatory compliance, and public trust, Operators and their affiliated drivers are strictly prohibited from using, displaying, or issuing communications under the name Flex Taxis Ltd, unless expressly authorised in writing.

7.1 Use of Flex Taxis Branding

  • Operators and drivers must not use the Flex Taxis name, logo, or any associated branding on vehicles, uniforms, apps, printed materials, social media, or promotional content without prior written approval from Flex Taxis Ltd.
  • This includes stickers, magnetic plates, signage, or digital assets that may imply formal affiliation or mislead passengers.
  • Vehicles used for Flex Taxis bookings must also be free of branding from:
    • The operator’s own trading name or business
    • Other taxi companies or third-party platforms.

7.2 Invoices, Receipts, and Booking Documentation

  • Drivers operating under your Operator Licence must not issue invoices, receipts, or booking confirmations under the name “Flex Taxis Ltd.”
  • All documentation provided to passengers must clearly reflect the trading name, business name, or licence holder’s details of the operator responsible for the booking.
  • If a passenger requests a receipt:
    • The driver may provide a neutral receipt showing only the fare, journey date, and basic trip details, without any company branding, or
    • Refer the passenger to the Flex Taxis Admin Team for an official receipt issued by Flex Taxis Ltd (if applicable).

7.3 Company Representation

  • Drivers and Operators must not present themselves as employees, staff, or official representatives of Flex Taxis Ltd.
  • All passengers must be made aware that journeys are fulfilled by self-employed drivers operating under a licensed agreement with Flex Taxis.
  • At the point of collection, especially for bookings made via an Operator Licence, drivers must not introduce themselves as “from Flex Taxis” unless formally permitted.

7.4 Breach of Branding and Representation Policy

Misuse or unauthorised use of Flex Taxis’ name, brand, or identity will be treated as a serious breach of your Agreement and may result in:

  • Immediate suspension of Operator or Driver access
  • Termination of your agreement with Flex Taxis Ltd
  • Reporting to the relevant local licensing authority for investigation or enforcement
  • Legal action for brand misrepresentation or unauthorised use of intellectual property

8. Acceptance of Bookings

Drivers agree to:

  • Only accept bookings assigned by Flex Taxis or authorised platforms.
  • Arrive on time at the pickup location and contact the passenger if running late.
  • Confirm the passenger’s name and destination before beginning the journey.
  • Follow the most appropriate or requested route unless advised otherwise.
  • Notify the admin team immediately of any issues, delays, or incidents.

Unauthorised pick-ups, cash jobs outside the system, or subcontracting jobs to non-registered drivers are strictly prohibited and will result in immediate suspension or legal action.

Notification Requirement for Private Hire Drivers

Private Hire drivers must inform their Operators that they are undertaking bookings on behalf of Flex Taxis Ltd, so that the booking can be properly handled and managed by the Operator.

9. Cancellations and No-Shows

If you need to cancel a confirmed booking, you must give as much notice as possible to the Flex Taxis admin team. Frequent or last-minute cancellations may lead to account review or suspension.

In cases where passengers are a no-show, drivers must:

  • Wait the required time as specified (e.g. 60 minutes for airport pickups, 5 minutes for local pickups).
  • Notify the admin team and provide photographic or timestamped evidence (where required).

Do not leave without reporting the no-show unless directed by the admin team.

10. Waiting Time and Delays

Drivers must adhere to Flex Taxis’ waiting time policies:

  • Airport/port pickups: First 60 minutes after flight landing are free. £0.35 per minute thereafter.
  • Standard pickups: First 5 minutes are free. £0.25 per minute thereafter.

Drivers are expected to monitor live flight status and maintain communication with dispatch. Early arrival and professional patience are encouraged to maintain customer satisfaction.

11. Payments, Earnings, and Commission Structure

Flex Taxis drivers operate on a self-employed basis, unless otherwise agreed in writing. As a self-employed driver, you are responsible for declaring your income to HM Revenue & Customs (HMRC) and for paying any applicable income tax and National Insurance contributions.

Payment Terms

  • Fares are paid to drivers via bank transfer, net of commission and any applicable fees.
  • Payments are made on a weekly or fortnightly cycle, depending on your agreement with Flex Taxis.
  • To receive payment, each driver must submit an invoice for the completed period. Payments will not be processed without a valid invoice.
  • A statement of completed jobs and earnings will be provided to support your invoicing.
  • Any payment discrepancies must be reported within 5 working days of receiving your statement.
  • Direct payments from passengers are strictly prohibited unless specifically authorised. All approved cash jobs must be recorded and declared.

Account Bookings (Business and Personal)

For bookings made under business or personal account agreements:

  • Drivers will be paid between one and two months after the job is completed.
  • This delay is due to the payment terms of our account clients, who generally pay one month after an invoice is issued by Flex Taxis.
  • These jobs will be listed in your statements as "pending payment" until cleared.
  • Payment will be processed in the next available cycle once funds are received from the client and the driver has submitted an invoice.

Commission Structure

Flex Taxis deducts commission from each completed fare to cover operational, administrative, and marketing costs. Rates may vary depending on your account type:

  • Standard Account – 15% commission per completed job
  • Premium Account – 18% commission (includes marketing benefits and priority job access)
  • Corporate / Executive Bookings – 18% to 25% commission, based on the terms agreed with the client

Commission is deducted before driver payment is issued and is clearly itemised in your payment statement.

Services Covered by Your Commission

Your commission helps cover the following services and overheads provided by Flex Taxis:

  • Access to the job dispatch and online booking system
  • Management of telephone bookings
  • Customer service and passenger support
  • Accounting, payroll, and financial administration
  • Driver admin support and communication
  • Office rent and operational running costs
  • 24/7 driver support and dispatch coordination
  • Secure card payment processing
  • Flight tracking and journey planning (where applicable)
  • Ongoing marketing and promotions to generate bookings
  • Complaint handling and dispute resolution

Flex Taxis does not charge additional fees for onboarding, weekly platform access, or vehicle use unless expressly stated in your driver agreement.

12. Priority Job Access Membership

Flex Taxis offers Standard and Premium Drivers the opportunity to increase their earning potential, improve job visibility, and access tailored business support through the Priority Job Access Scheme.

12.1. Membership Fee and Duration

  • The annual membership fee is £150, payable in advance.
  • The fee is non-refundable and valid for 12 months from the activation date.
  • Available exclusively to Standard and Premium account holders.
  • Not available to Corporate Contracted Drivers.

12.2 Member Benefits

Priority Members enjoy a wide range of professional, operational, and business development advantages:

Priority Job Access

  • Priority dispatching for high-value, time-sensitive, and exclusive bookings
  • Enhanced visibility in the Flex Taxis job allocation system
  • Dedicated admin support during peak hours and for urgent rerouting.

Earning Guarantee

  • Guaranteed minimum of £150 in commission-free job value during your 12-month membership
  • After reaching the £150 threshold, your standard commission rate will apply
  • Example: If you complete jobs worth £35, £50, and £65 through the Priority List (total: £150), you will receive 100% of those fares, with no commission deducted.

Operational & Business Support

  • Assistance securing car finance through vetted providers
  • Referrals to trusted accountancy services for self-employment support and tax returns
  • Legal advice on taxi and private hire matters, licensing, and regulatory issues
  • Help with licensing test preparation, including applications and documentation
  • Support with vehicle insurance quotes via approved brokers
  • Free or discounted vehicle inspections through partner garages
  • Flexible vehicle rental schemes with low deposits or priority placement
  • Priority access to new app features and pilot tools (e.g. advanced navigation, job filters)
  • Access to a 24/7 driver support line, separate from general support
  • Monthly industry news, updates, and business insights
  • Personalised driver support for compliance, operations, and professional growth
  • Early access to exclusive offers, briefings, and training opportunities.

Training & Compliance Benefits

  • Free or subsidised training workshops (e.g. customer service, safeguarding, first aid)
  • One-to-one support for licensing renewals and compliance
  • Driver development reviews to progress toward Premium or Executive levels
  • CPD (Continuing Professional Development) certification to strengthen driver profiles

12.3 Terms and Conditions

  • The £150 membership fee is strictly non-refundable, including in cases of account suspension, deactivation, or voluntary withdrawal
  • Only one membership per 12-month cycle is permitted
  • Priority access is subject to availability, driver rating, service area, and operational demand
  • Flex Taxis reserves the right to withdraw, amend, or update the scheme or its eligibility terms with reasonable notice

13. Insurance and Liability

As a self-employed driver using the Flex Taxis platform, you are solely responsible for maintaining appropriate insurance and managing associated risks.

Driver Responsibilities

You must:

  • Maintain valid Hire and Reward insurance for the vehicle used at all times.
  • Ensure you are personally insured and legally permitted to carry paying passengers.

Flex Taxis Liability

Flex Taxis Ltd accepts no liability for:

  • Loss, damage, or theft relating to your vehicle or personal belongings.
  • Penalties, fines, or sanctions arising from traffic violations, accidents, or other driving offences.
  • Passenger injury resulting from your negligence, misconduct, or failure to follow safety protocols.

You are personally liable for any damage caused to vehicles by passengers during your shift, unless Flex Taxis expressly confirms otherwise in writing.

14. Safety and Incident Reporting

Safety is a top priority. All drivers must:

  • Prioritise the safety of passengers, themselves, and the public at all times.
  • Report all accidents, incidents, altercations, or safety concerns to the Flex Taxis Admin Team within 24 hours.
  • Cooperate fully with police, licensing authorities, insurers, and any official investigators as required.
  • Submit written records of serious incidents, and preserve dashcam footage where available.

In the event of an emergency, call 999 immediately, and notify Flex Taxis as soon as it is safe to do so.

15. Customer Complaints

Flex Taxis is committed to maintaining high service standards. Drivers are expected to act professionally and minimise customer complaints.

If a complaint is made:

  • You will be notified and may be required to provide a written explanation or statement.
  • For serious complaints, your account may be temporarily suspended pending investigation.
  • Repeated or unresolved complaints, even minor ones, may lead to permanent removal from the platform.

Flex Taxis supports a fair review process. Drivers have the right to appeal decisions; however, the company reserves the right to refuse future work to protect passenger safety and company reputation.

16. Data Protection and Confidentiality

Drivers must handle all customer data with care and in compliance with UK data protection laws.

You must:

  • Respect the privacy and confidentiality of all passengers.
  • Never store, share, or misuse any personal data (e.g. names, addresses, phone numbers).
  • Only use journey and customer information for the purpose of fulfilling the booking.
  • Comply with all relevant laws, including the UK GDPR, and follow the Flex Taxis Privacy Policy.

17. Termination and Suspension

Flex Taxis reserves the right to suspend or terminate a driver’s access to the platform with immediate effect for the following reasons:

  • Breach of these Terms and Conditions
  • Serious misconduct or poor customer service
  • Unsafe driving or involvement in legal infractions
  • Failure to comply with licensing, documentation, or insurance requirements
  • Behaviour or actions that bring reputational harm to the company

Drivers may voluntarily deactivate their account by providing 7 days’ written notice to the Admin Team.

18. Amendments

Flex Taxis may amend these Terms and Conditions at any time. Drivers will be notified in advance of any material changes. Continued use of the platform after notification will be regarded as acceptance of the updated terms.

19. Governing Law

These Terms and Conditions are governed by the laws of England and Wales.
Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

B.Operators

1. Introduction

These Terms and Conditions apply to all licensed Operators who are authorised to receive, allocate, and manage bookings on behalf of Flex Taxis Ltd. By accepting operator status, you agree to comply with these terms, maintain high standards of service, and uphold Flex Taxis’ reputation.

2. Licensing and Legal Compliance

As an approved Operator, you must:

  • Hold a valid Private Hire Operator Licence issued by your local licensing authority.
  • Ensure your licence is active, up to date, and renewed before expiry.
  • Comply with all conditions imposed by your licensing authority, including record-keeping and reporting.
  • Provide copies of your operator licence and public liability insurance to Flex Taxis upon request.
  • Notify Flex Taxis immediately of any enforcement action, suspension, or licensing breach.

3. Driver and Vehicle Standards

You are responsible for:

  • Ensuring that all drivers operating under your account are licensed, insured, and DBS-checked.
  • Ensuring that all vehicles are roadworthy, insured for hire and reward, and meet local authority requirements.
  • Conducting regular internal compliance checks and maintaining documentation for at least 12 months.
  • Immediately removing or suspending any driver who fails to meet legal or professional standards.

All drivers and vehicles must meet or exceed Flex Taxis’ minimum quality and safety standards.

4. Booking and Dispatch Responsibilities

As an Operator, you must:

  • Only allocate jobs to drivers who are licensed, insured, and registered with Flex Taxis.
  • Maintain accurate, real-time communication with drivers and passengers.
  • Monitor punctuality, route adherence, and driver professionalism.
  • Ensure drivers follow Flex Taxis’ Terms of Carriage and do not accept unauthorised payments or negotiate prices.

Operators must record all bookings, including time, date, pickup and drop-off location, driver assigned, and fare charged, in line with licensing rules.

5. Brand Representation and Documentation Restrictions

Flex Taxis Ltd is a regulated and trademarked entity. 6. Commission and Payment Terms

Operators receive a fixed percentage of the total fare, as agreed in your Operator Agreement.

  • Standard Operator Commission: Typically 10%–20% of the net fare per completed booking
  • Commission is deducted automatically from the passenger fare before disbursement
  • Weekly or monthly account statements will be issued showing completed jobs and commission deductions

Operators must not charge passengers or drivers additional fees outside of the agreed fare and must never negotiate alternative pricing.

7. Data Protection and Confidentiality

Operators must:

  • Comply with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018
  • Keep all passenger and driver information confidential and secure
  • Use booking and contact data only for the purpose of completing the authorised journeys
  • Immediately report any data breaches to Flex Taxis and relevant authorities

8. Conduct and Complaint Management

Operators must:

  • Ensure drivers uphold high customer service standards and behave professionally at all times
  • Monitor and address customer complaints, driver conduct issues, or safety concerns within 24 hours
  • Report all serious incidents or complaints to Flex Taxis for central logging and support

Failure to address repeat issues or suppress complaints may result in account suspension.

9. Termination and Suspension

Flex Taxis reserves the right to suspend or terminate your Operator Agreement with immediate effect for:

  • Breach of licensing or legal requirements
  • Repeated passenger or driver complaints
  • Non-payment of agreed commission or contractual fees
  • Bringing the brand into disrepute
  • Misuse of passenger or driver data
  • Failing to remove unlicensed or non-compliant drivers or vehicles from your fleet

Operators may terminate their account by giving 30 days' written notice.

10. Amendments and Notifications

Flex Taxis may revise these terms periodically. Operators will be notified in writing of any material changes. Continued use of the Flex Taxis platform after notification constitutes acceptance of the updated terms.

11. Governing Law and Jurisdiction

These Terms and Conditions are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.

This Agreement is made between: Flex Taxis Ltd ("the Company"), registered in England and Wales, and the undersigned licensed Operator ("the Operator").

1. Purpose

This Agreement outlines the terms and conditions under which the Operator is authorised to receive, dispatch, and manage bookings using the Flex Taxis dispatch system or platform.

2. Licensing and Compliance

The Operator warrants that they:

  • Hold a valid Private Hire Operator Licence issued by the appropriate UK local authority.
  • Will maintain that licence throughout the term of this agreement.
  • Will comply with all conditions imposed by the local authority, including record keeping and reporting.
  • Will notify Flex Taxis Ltd immediately of any enforcement action, suspension, or changes to licensing status.

3. Driver and Vehicle Compliance

The Operator agrees to:

  • Only assign bookings to drivers who are properly licensed, insured, and DBS-checked.
  • Ensure all vehicles used are insured for hire and reward, roadworthy, and fully compliant with local authority licensing requirements.
  • Maintain updated documentation for all drivers and vehicles.

4. Booking and Dispatch

The Operator must:

  • Dispatch bookings only to authorised drivers listed under their operator licence.
  • Keep accurate logs of each booking in accordance with licensing laws.
  • Ensure timely dispatch and manage customer communication as required.

5. Pricing

  • Operators must not add or alter fare pricing without written approval from Flex Taxis.

6. Branding and Representation

  • Operators and their drivers are not permitted to use the Flex Taxis name, logo, or branding on vehicles, uniforms, or documentation without written permission.
  • Drivers dispatched by the Operator must not issue receipts or invoices using Flex Taxis Ltd’s name.
  • Passengers must not be led to believe that the Operator or its drivers are employees or official representatives of Flex Taxis Ltd.

Breach of this section constitutes grounds for immediate termination.

7. Conduct and Complaint Handling

  • Operators are responsible for managing driver behaviour and responding to customer complaints promptly.

8. Data Protection

  • Operators agree to comply with UK GDPR and the Data Protection Act 2018.
  • Customer and driver data must only be used for the fulfilment of bookings and must be kept confidential.

9. Suspension and Termination

Flex Taxis reserves the right to:

  • Suspend or terminate this Agreement with immediate effect for regulatory breaches, customer complaints, brand misuse, or any activity that damages the reputation of the Company.
  • Require 30 days’ written notice for voluntary termination by either party.

10. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Acceptance of Terms by Online Registration

By registering as an Operator on the Flex Taxis platform, you confirm that:

  • You have read, understood, and agree to be bound by the terms and conditions set out in this Agreement.
  • You are legally authorised to act on behalf of the Operator licence holder named in your registration.
  • You acknowledge that this Agreement constitutes a legally binding contract between you and Flex Taxis Ltd.

Online registration and use of the Flex Taxis system shall constitute full acceptance of these terms.

If you do not agree to these terms, you must not proceed with registration or accept any bookings from Flex Taxis Ltd.
